Basalt, through Ride BidCo AB, completes the offer to the shareholders of Nobina AB (publ) and thereby becomes the owner of 92.8 per cent of the shares1 and further extends the acceptance period
This announcement is not an offer, whether directly or indirectly, in Australia, Canada, Hong Kong, Japan, New Zealand, Singapore or South Africa or in any other jurisdiction where such offer would be prohibited by applicable law pursuant to legislation, restrictions and regulations in the relevant jurisdiction. Shareholders not resident in Sweden who wish to accept the Offer (as defined below) must make inquiries concerning applicable legislation and possible tax consequences. Shareholders should refer to the offer restrictions included in the section titled “Important notice” at the end of this announcement and in the offer document published on Ride BidCo’s website (www.offertoride.com). Shareholders in the United States should also refer to the section titled “Special notice to shareholders in the United States” at the end of this announcement.
On 13 December 2021, Basalt2, through Ride BidCo AB3 (“Ride BidCo”), announced a recommended public offer to the shareholders of Nobina AB (publ) (“Nobina” or the “Company”) to tender all their shares4 in Nobina to Ride BidCo at a price of SEK 108 in cash per share (the “Offer”). On 17 January 2022, Ride BidCo announced that the acceptance period for the Offer would be extended until 21 January 2022. Ride BidCo hereby announces that all conditions for completion of the Offer have been fulfilled and accordingly declares the Offer unconditional, and that Ride BidCo has decided to further extend the acceptance period.
The shares tendered in the Offer at the end of the initial acceptance period which ended on 14 January 2022 amounted to in aggregate 76,457,287 shares in Nobina, corresponding to approximately 88.6 per cent of the share capital and voting rights in Nobina.5 The corresponding number at the end of the extended acceptance period on 21 January 2022, is in aggregate 80,064,597 shares in Nobina, corresponding to approximately 92.8 per cent of the share capital and voting rights in Nobina.6
Ride BidCo hereby announces that all conditions for completion of the Offer have been fulfilled. Accordingly, the Offer is declared unconditional and Ride BidCo will complete the acquisition of the shares tendered. Settlement for shares tendered by the shareholders who accepted the Offer up to and including 21 January 2022 is expected to be initiated around 1 February 2022 in accordance with the previously communicated time table.

To provide the remaining shareholders of Nobina who have not tendered their shares time to accept the Offer, the acceptance period will be further extended until 8 February 2022 at 15:00 (CET). Settlement for shares tendered in the Offer during the further extended acceptance period is expected to be initiated around 17 February 2022. Ride BidCo reserves the right to further extend the acceptance period for the Offer.
Prior to the announcement of the Offer, neither Ride BidCo nor any closely related companies or closely related parties owned or otherwise controlled any shares in Nobina or held other financial instruments in Nobina that give financial exposure to Nobina’s shares. Ride BidCo has not acquired any such shares or financial instruments outside the Offer. Ride BidCo may acquire shares in Nobina during the extended acceptance period.
Since the Offer is now unconditional, the shareholders who have accepted the Offer, or will accept the Offer, have no right to withdraw acceptances.
Ride BidCo will initiate compulsory redemption of the remaining shares in Nobina as well as promote a delisting of Nobina’s shares from Nasdaq Stockholm.
